A retiree with a traditional company pension sometimes gets a letter explaining that the plan has purchased a group annuity contract from an insurance company, that the monthly amount is unchanged, and that the insurer will handle payments from now on. The letter is accurate. The monthly amount usually does not change, and in the ordinary case nothing ever goes wrong. What the letter tends not to spell out is that the guarantee behind the payment has been swapped for a different one, and the two are not equivalent.

Before the transfer, a private pension is backed by the Pension Benefit Guaranty Corporation, the federal insurer that steps in when a plan fails. Its maximum guarantee at age sixty-five this year is about 7,790 dollars a month for a single-life benefit, roughly 93,000 a year. Once the plan buys out the obligation, the retiree stops being a plan participant. The PBGC is out of the picture entirely, and the backstop becomes the life and health insurance guaranty association of the state where the retiree lives. Those associations are real and they have paid claims, but the federal floor for annuity protection is 100,000 dollars in present value, with many states at 250,000 or 300,000\. That is a present-value cap on the whole remaining stream, not an annual figure, and it is a different order of protection from the federal one it replaced.

### Why Companies Do This, and How Much Is Moving

The motive is not mysterious. A pension obligation sits on the corporate balance sheet, consumes attention, carries PBGC premiums, and fluctuates with interest rates. Handing it to an insurer removes all of that permanently. The market for doing so is large: single-premium transfers ran about 51.8 billion dollars in 2024 and 48.8 billion in 2025, and total assets now managed under these contracts exceed 340 billion.

One distinction inside those numbers matters more to a retiree than the headline. A buyout moves the liability off the plan, which is the transaction described above. A buy-in leaves the liability with the plan, which simply holds the annuity as an investment, and the retiree remains a plan participant with PBGC coverage intact. Buy-ins grew sharply last year while buyouts fell by about a third. So the trend is not simply that more retirees are being moved out of federal coverage. The right question is not whether your former employer did a pension transaction, but which kind.

### The Mechanics of Choosing the Safest Available Provider

Federal law does not leave the choice of insurer to commercial preference. Under a Labor Department interpretive bulletin issued in 1995, the plan fiduciary must select the safest available annuity provider, weighing the insurer's investment portfolio quality and diversification, its size relative to the contract, its capital and surplus, its other lines of business and liability exposure, the structure of the contract, and the availability of guaranty association coverage. The standard is decades old and the industry it governs has changed considerably, which is the heart of the current argument.

### The Review That Did Not Change the Rule

Congress asked the department to revisit the bulletin, and the resulting report went to Congress in June 2024\. It declined to propose amendments, saying more study of the annuity market was needed first, while recording the concern that insurers affiliated with private equity may run riskier strategies than traditional carriers, and noting that a very large share of liabilities ceded to foreign reinsurers goes to Bermuda. Retirees have also sued, arguing that particular fiduciaries chose a cheaper, less conservative insurer and kept the savings. Those suits have mostly not survived so far, dismissed on the ground that a retiree still receiving every promised dollar has not yet suffered an injury a federal court can hear. Two cases remain alive on appeal.

### What This Actually Changes for a Household

For the overwhelming majority of retirees this is paperwork. The insurers doing this business are large and regulated, and a failure would be a rare event. But the honest description of the change is that a federally insured benefit with a high guarantee became a state-insured benefit with a lower one, in a transaction the retiree had no vote in and often no notice of beyond a letter.

*The monthly amount stayed the same, which is exactly why almost nobody noticed that the institution standing behind it did not.* Anyone who has received such a letter is worth spending twenty minutes on three specifics: which insurer now holds the contract, whether the transaction was a buyout or a buy-in, and what the annuity coverage limit is in their own state of residence, since that last number is the one that would matter on the day it mattered, and it varies from the hundred thousand dollar federal floor to five times that depending on where they live.
